Premium Affiliate Agreement

 

Your consent to the terms of this agreement (“Agreement”) with FOOTBALL GOAL COIN Limited (“Company”) is signified by clicking the box entitled “I have read and agreed to the Affiliation Agreement” in our Affiliate Sign-Up Page.

 

IF YOU DO NOT WISH TO ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, THEN DO NOT PROMOTE Football Goal Coin (“FGC”).

 

1. Definitions

1.1. Account: The uniquely assigned account that is created for each Users when it completes an account application at any of the Promoted Sites and is approved by the Company/ its contractor.

1.2. Affiliate: A person or entity that received confirmation from the Company at their sole discretion, that it has successfully completed the Program Participation Form, that it is included in the Program and that it has received a Tracker ID linked to the Site in accordance with the terms of this Agreement. An Affiliate may also be referred to as Premium Affiliate though both titles are for the one and the same.

1.3. Affiliate Fee: The amount payable to the Affiliate due to the (i) Compensation Plan, and/or the Referrals fee (as applicable), based solely and exclusively on the Company’s data and calculations as specified in the Report.

1.4. Affiliate Section: The area of the Site or any related documentation where each Affiliate may review the Report or information, register Referred-Affiliates, update their profile, create additional Tracker IDs, select Banners and Text Link and other additional functions. The Company reserves the right to add and/or remove any tools from the Affiliate Section at any time, at its sole and absolute discretion.

1.5. Banner and Text Link: Any means of graphics, pictures, animation, artwork or text that an Affiliate uses to promote the Program and/or to hyperlink Users from Affiliate’s website to the Site.

1.6. Company: means Football Goal Coin Limited (CR No.: 14443716), a legal entity with its registered office at: 95 Mortimer Street, Unit 51, London, United Kingdom, W1W 7GB;

1.7. Promoted Marks: means Football Goal Coin Trademarks, trade names, service names, Banners and Text Links, marketing tools, logos placed on the Platform or otherwise used with respect to the Platform or the Site promoted under the terms of the present Agreement and all similar proprietary rights, together with all translations, adaptations, derivations and combinations thereof, all applications, registrations and renewals in connection therewith, and all rights to corporate names, metatags and universal resource locators owned or used by the Company.

1.8. Promoted Platforms: footballgoalcoin.com and panel.footballgoalcoin.com. 

1.9. Compensation Plan: An Affiliate compensation plan where Affiliate shall receive its Affiliate Fee according to the number of Qualified Users referred by it to the Site(s), registered via web terminal and the Affiliate Fee as shall be specified on the Affiliate Section, as updated from time to time at the Company’s/its contractor sole and absolute discretion. For example, if an Affiliate is entitled to receive $100 per Qualified Users, and Affiliate referred 10 Users in a certain month, 8 of which are Qualified Users, Affiliate shall be entitled to receive consideration for such month 8*100 = US$800.

1.10. Fraud Traffic: Any deposits, Gross Revenue or traffic generated at the Site(s) through illegal means or in bad faith to defraud the Company/its contractor, regardless of whether or not it actually causes harm to the Company/ its contractor. Fraud Traffic includes, but is not limited to, Spam, false advertising, deposits generated by stolen credit cards, collusion, manipulation of the service, system, bonuses or promotions, offers to share the Affiliate Fee directly or indirectly

with Users, and any other unauthorised use of any third party accounts, copyrights or trademarks.

1.11. Promo Material: Any material used by an Affiliate in order to promote any activity related to Football Goal Coin, including Banners, Text Links and any other promotional material that an Affiliate subsequently uses or develops to refer or hyperlink Users from the Affiliate’s website to the Site.

1.12. Program: located at the Site and includes the Company’s affiliate program regulated by this Affiliation Agreement, other documents, confirmed by the Program Participation Form: A registration form located at the Site for the participation in the Program.

1.13. Qualified Users: A human user who was directed by an Affiliate and identified by a Tracker ID assigned to such Affiliate; registered via web terminal, provided that such Affiliate is confirmed by Company as included in the Program and is linked to the Site in accordance with this Agreement, such user has been approved by Football Goal Coin and has made a minimum real money net deposit (deposit – withdrawal) of at least US$50, or such other minimum amount as shall be specified by the Program from time to time, the Company/ Football Goal Coin has collected from such user Gross revenue in an amount of at least US$40, or such other amount as shall be specified by the Program from time to time, and such user is not already registered to the Site under a different name or through a different identity. It is hereby clarified that neither an Affiliate nor any of its Affiliated Parties are eligible to become Qualified Users under such Affiliate’s Tracker ID(s), and should Affiliate or any of its affiliated parties do so register, Affiliate will not be eligible to receive the applicable commission or any other compensation whatsoever. For the purposes hereof, the term “Affiliated Party” shall mean any of the following: any member of Affiliate’s immediate family; any individual, corporation, partnership, joint venture, trust, and any other body corporate or unincorporated organisation, directly or indirectly controlling, controlled by or under common control with Affiliate.

1.14. Report: Information regarding the Affiliate Fees, Users tracking and other information relevant to the Affiliate provided by the Company/its contractor to the Affiliate in the Affiliate Section.

1.15. Site/Promoted site(s): Website(s) promoted under the terms of this Agreement and indicated in the title hereof.

1.16. Spam or Unsolicited Promotions: Any emails or any other messages that are circulated by Affiliate, directly or indirectly, including messages that are posted on social media networks, newsgroups, forums, chat boards and other types of online media and which:

1.16.1. are directed at third parties who have not consented in writing in advance to receiving promotional messages from such Affiliate;

1.16.2. contain false or misleading statements;

1.16.3. do not truthfully identify the source or the originating IP Address from which it was sent;

1.16.4. or do not provide the recipient with an option to easily be removed from receiving future mailings or promotions.

1.17. Commission: Commission for signing up a newly qualified User.

1.18. Referrals: Any person(s) or entity which the Affiliate referred to this Program as referrals, and such entity or person was approved by the Company/ its contractor.

1.19. Tracker(s) ID: The unique Tracking ID, which is related to the Tracker URL that the Company provides exclusively to the affiliate, through which the Company tracks and calculates Affiliate Fee.

1.20. Tracking URL: A unique hyperlink to the Site enabling an Affiliate to refer potential Users to the Site, and enables Company and Football Goal Coin to identify the Affiliate that has referred such specific Users for the purpose of calculating the Affiliate Fee.

1.21. Trademarks: All trademarks (registered and unregistered), service marks and logos displayed on the Site(s) and/or promoted under the terms of the present Agreement.

1.22. Users(s): Any approved client of the Platform.

1.23. Platform: Football Goal Coin Trading platform, are The technologies providing Football Goal Coin the opportunity for provision of ICO services allowing its clients to buy ICO tokens and or any related domain including footballgoalcoin.com and panel.footballgoalcoin.com.

 

2. Affiliate Program 

2.1. Participation – In order to become a partner, you must complete a registration form on the website. By doing so, you are agreeing to all the terms outlined in this agreement.

2.1.1. Affiliate Terms – The Company (Football Goal Coin) reserves the right to modify the Affiliate Terms. This modification may occur at any time, and the decision lies solely with the Company/Football Goal Coin. If such a change is made, the Affiliate may receive a notification via email however the Affiliate is expected to regularly read the relevant website section to keep up to date. If the Affiliate disagrees with the modification, they must inform the Company by replying to the email or using any other form of contact within three (3) calendar days of receiving it or by sending an email or message to the company within the same time frame. Failure to do so within this time frame will be considered acceptance of the new compensation arrangement. 

2.2. Costs and Expenses The Affiliate is responsible for covering all costs and expenses incurred in relation to this Agreement. In no circumstances will the Company or Football Goal Coin be held liable for any expenses other than the Affiliate Fee.

 

3.0 The Affiliate Fee

The Affiliate Fee will be calculated as 20% of the payments received from qualified users. This 20% fee will be specified in the Affiliate Section or documentation, which may be updated periodically at the sole discretion of the Company or its contractors.

3.1. Tracking and Payment

The Company or Football Goal Coin will monitor the activity of Users registered through the web terminal to calculate the Affiliate Fee. This information will be accessible to the Affiliate in the Affiliate Section or documentation.

3.2 The Affiliate Fee will be paid monthly, as detailed in the provided Report. 

3.3 The Company or Football Goal Coin will not remunerate for Fraud Users or those acquired through fraudulent, dishonest or means which The Company regards as outside of the Company’s ethics. If fraudulent activity is detected from a User for whom payment has already been made to the affiliate, the Company will deduct the corresponding amount from the affiliate’s earnings.

3.4 Misleading material including banners, texts, and acquisition campaigns are strictly prohibited. Any violation may result in the complete rejection of traffic without payment.

3.4. The Affiliate Fee will be paid within fourteen (14) working days after the end of each calendar month, provided the accumulated amount is equal to or greater than US$50.

3.5 The Affiliate may only sell through channels which they have disclosed to The Company. The Company may request tracking cookies be added if the Affiliate is using a website.

3.6 Affiliate Fees will be disbursed in a currency and method determined by the Company, in accordance with its policies and applicable laws. Any charges for wire transfers or similar fees will be deducted from the Affiliate Fee. 

3.7 The Affiliate Fee does not apply to the introduction of other Users.

4.0 Modification of Agreement Criteria

4.1 The Company reserves the right, at its sole and absolute discretion, to change, modify, add, or remove any criteria in this agreement, including but not limited to setting baselines, thresholds, minimum deposits/earnings, or other requirements for qualifying under the compensation plans or receiving the Affiliate Fee as outlined here.

 

5.0 Eligibility for Affiliate Fee

5.1 Affiliate Fees are exclusively payable for Premium Affiliates from the promoted platforms. The Company reserves the right, at its sole and absolute discretion, to deduct any sums paid to the affiliate for Users from non-promoted platforms due to errors or mistakes from all other payments.

 

6.0. Users Verification

6.1 Affiliate Fee will only be paid after verification and checks conducted by the Company or Football Goal Coin, in accordance with applicable laws and the Company’s internal verification process.

 

7.0. Compliance Approval

7.1 Promotion of Marks and Platforms subject to regulation must be pre-approved by Football Goal Coin before starting promotion, including content and any amendments/updates. If Affiliate amends/updates content without prior approval, the Company may, at its sole discretion, terminate the Agreement. No affiliate fee will be paid for Users referred in violation of these conditions.

 

8.0 Fraud, Non-Compliance & Other Types of Dishonesty

8.1 The Company may withhold, delay, or deny payment of the Affiliate Fee if:

• The Affiliate’s activity is not in compliance with applicable law.
• The Affiliate’s activity harms the Company or its reputation.
• The Affiliate breaches this Agreement.
• The Affiliate provides misleading or incorrect information.
• The Affiliate fails to provide requested documents.
• Allegations of property or rights infringement arise from the Affiliate’s activity.
• The Affiliate is involved in dishonest commission attempts. The Affiliate waives any claims against the Company, its directors, officers, shareholders, employees, or the Site for such actions.

8.2 Fraud Traffic

In cases of suspicious activity in the Affiliate’s account or in an account seemingly controlled by the Affiliate, the Company may delay payment of the Affiliate Fee for up to 180 days to verify transactions. If the Company determines the activity as Fraud Traffic, the Affiliate Fee may be recalculated or withheld at the Company’s discretion.

8.3 Actions Against Fraudulent Activity

If the Company determines the Affiliate’s involvement in fraudulent, deceptive, manipulative, or illegal activities connected to the Company or its contractors, including the Site, the Company may render Tracking URLs inoperative and block the Affiliate’s access to the Program without compensation and report to the relevant authorities including but not limited to the local police.

 

9.0. Waiver of Claims

The Affiliate irrevocably waives any claims against the Company, its directors, officers, shareholders, employees, or the Site for actions taken by the Company.

 

10.0. Restrictions

The Affiliate is prohibited from:

• Violating legislation in the UK and all other countries.
• Employing spam, viruses, deceitful or illegal methods in advertising campaigns.
• Using Football Goal Coin’s branding through search engines without authorisation.
• Registering trading and partner accounts via one IP through affiliate links.
• Self-registering trading accounts via affiliate links.
• Spreading false information to deceive clients.
• Using spam mailing for client attraction.
• Using unfair publicity or advertising tactics.
• Using Trademarks or intellectual property without prior approval.
• Using design elements of the Site for advertising without agreement with the Company.
• Mentioning the Company/its contractor on a website without written permission.
• Using the Company name, branding or any recognisable feature or of its subsidiaries, officers, directors, employees, or contractors or any related body without permission.

 

11. No Agency, Partnership, or Joint Venture

11.1. Relationship Clarification

This Agreement explicitly establishes that it does not create or imply a partnership, agency relationship, or joint venture between the Affiliate (along with its offices, employees, or agents) and the Company (Football Goal Coin) (including its offices, employees, or agents). Consequently, the Affiliate and its representatives, including employees and agents, are not authorised to present themselves to others, including prospective customers, as having any affiliation with the Company (Football Goal Coin) beyond what is specifically outlined in this Agreement. Additionally, the Affiliate and its representatives do not have the authority to make representations or take actions on behalf of the Company (Football Goal Coin). While fulfilling their obligations under this Agreement, the Affiliate has no power to legally bind the Company (Football Goal Coin) in any manner and may only communicate information regarding Football Goal Coin or its trading operations as explicitly authorised by this Agreement or in writing by the Company.

 

12.0 Dispute Resolution

12.1. Resolution o f Payments

Upon accepting a payment transfer, or receiving any other form of payment, it will be considered as the complete and final settlement of the Affiliate Fee for the corresponding calendar month. If the Affiliate has any disagreements concerning the Reports or the amount to be paid, it is imperative that the Affiliate should promptly convey their dispute to the Company in writing. Dispute notices must be submitted to the Company within thirty (14) calendar days following the conclusion of each calendar month for which a payment is issued. Failure to do so will be regarded as a waiver of the Affiliate’s right to dispute the Report or payment, and no claims can be made in this regard thereafter.

 

13. Taxation

13.1. Tax Compliance

The Affiliate is solely responsible for adhering to all tax laws applicable to the Affiliate Fee. The Affiliate acknowledges and consents that, as mandated by relevant laws and regulations, the Company may disclose information concerning the Affiliate’s Fee to government agencies when necessary.

 

14. Additional Participation Requirements

14.1. Providing Accurate Information

Affiliates are required to furnish the Company (Football Goal Coin) with truthful and complete information as requested by the Company (Football Goal Coin) from time to time. The Affiliate acknowledges that, before receiving any Affiliate Fee, they must provide the Company (Football Goal Coin) with all necessary information. This information may encompass, but is not restricted to, the following:

For Individual Affiliates:

• A copy of a valid photo identification(s).
• Full name.
• Identity number.
• Date of birth.
• Nationality.
• Residential address.
• Contact information.
• Details of marketing activities, including location and nature.
• VAT registration or other tax references.
• Bank details for commission disbursements, including the name on the bank account, bank account number, sort code or IBAN, bank name, and address.

For Legal Entity Affiliates:

• Registered company name.
• Company ID (I.B.N., state registration number).
• Country of registration.
• Registered office address in the country of registration (supported by a copy of the appropriate certificate).
• Copy of the Affiliate’s certificate of incorporation.
• Business address (if different from the registered office).
• VAT registration or other sales tax references (supported by a copy of the appropriate certificate).
• Regulatory or licensing registration number (if applicable, supported by a copy of the appropriate certificate).
• Names of directors or partners (supported by a copy of the appropriate certificate).
• A copy of a valid photo identification card for the main executive director and/or partner and/or all directors and/or partners.

 

15. Marketing Materials

15.1. Compliance with Guidelines – Affiliate’s marketing materials must adhere to the guidelines specified in the Affiliate Sections and the restrictions outlined in this agreement.

15.2. Approval of Marketing Materials

Before using or modifying any marketing materials, the Affiliate is required to submit all materials to the Company/Football Goal Coin for review and approval. The Affiliate may only utilise the approved marketing material upon receiving explicit written consent from the Company/Football Goal Coin. The Company/Football Goal Coin reserves the right to deny approval at its sole and exclusive discretion. If approval is granted, the Affiliate agrees to assign and transfer all rights, titles, and interests in the materials created by or for the Affiliate to the Company, its successors, assignees, or nominees.

15.3. Unauthorised Marketing Materials

In the event that the Affiliate employs any marketing material that has not been approved by the Company/Football Goal Coin, the Company/Football Goal Coin retains the right, in addition to other remedies available under this Agreement or applicable law, to deactivate the Tracking URLs associated with the Affiliate, block the Affiliate’s access to the Program, and withhold any Affiliate Fee, without compensation to the Affiliate. The Affiliate hereby waives any claims or demands against the Company/Football Goal Coin, including its directors, officers, shareholders, employees, or the Site, regarding such actions taken by the Company/Football Goal Coin.

 

16. Compliance and Conduct

All of the Affiliate’s activities must be conducted professionally, ethically, and in strict compliance with applicable laws. The Affiliate is solely responsible for the content and manner of their activities. The Affiliate and their website(s) (if applicable) are prohibited, either directly or indirectly, from engaging in any activity that the Company/Football Goal Coin, at its sole discretion, deems illegal, improper, unfair, or detrimental to the operation, reputation, or other users of the Site. Prohibited activities include but are not limited to:

• Operating an illegal business, site, or email subscription list.
• Engaging in any form of illegal activity or displaying illegal content on the Affiliate’s website or in email subscriptions.
• Promoting content that is libellous, defamatory, obscene, abusive, violent, bigoted, hate-oriented, illegal, pornographic, related to gambling, or linking to such content.
• Sending indiscriminate or unsolicited commercial advertising emails.
• Placing Site links in spam or unsolicited promotions, banner networks, counters, guest books, IRC channels, or similar internet resources.
• Facilitating transactions that are not in good faith or involve any form of fraudulent traffic.
• Establishing promotions that offer rewards, points, or compensation without the prior written consent of an authorised Company/Football Goal Coin officer.
• Diluting, blurring, or tarnishing the value of Trademarks.
• Unauthorised use of third-party intellectual property (including trademarks) or offering rake-back deals to Users. The Company/its contractor retains the right, in addition to other remedies under this Agreement or applicable law, to deactivate Tracking URLs associated with any Affiliate violating these restrictions, immediately blocking the Affiliate’s access to the Program, with no compensation owed to the Affiliate. The Affiliate hereby waives any claims or demands against the Company or Football Goal Coin, including its directors, officers, shareholders, employees, or the Site, regarding such actions taken by the Company/Football Goal Coin.

 

17. Age Restrictions

17.1. Age Requirement – To participate in the Program, Affiliates must be at least 18 years of age or older.

17.2. Target Audience Age – Affiliates may not actively target marketing toward individuals under the age of 18 years old or below the legal age of majority in the territory where the Affiliate operates, if older.

18. Links; Trademarks and Logos; Data Ownership

18.1 The Affiliate, and anyone acting on the Affiliate’s behalf, shall refrain from asserting the invalidity, unenforceability, or contesting the ownership of any of the Promoted Marks in any legal action or proceeding, irrespective of the nature of such action. Furthermore, the Affiliate shall not undertake any action that might jeopardise the Company’s/Football Goal Coin rights in the Promoted Marks, make them generic, or otherwise weaken their legal validity or reduce the associated goodwill.

 

19.0. Usage Rights

19.1 Except as expressly permitted within this Agreement, nothing herein or on any of the Sites should be construed as implicitly, by implication, or estoppel, granting any licence or rights to utilise any of the Promoted Marks.

 

20. Data Ownership

All Users shall be recognised as customers of Football Goal Coin exclusively. Football Goal Coin retains sole and exclusive ownership of the database containing names, contact information, and any other data pertaining to all Users, including those identified by a Tracker ID. The Affiliate further agrees that the Company/Football Goal Coin may access information related to visitors of the Affiliate’s website and may utilise such information for any legitimate purpose.

 

21. Limitation of Liability

21.1. Exclusion of Certain Damages

Under no circumstances shall the Company/Football Goal Coin, its subsidiaries, officers, directors, employees, or contractors be liable for lost profits or data, or for any special, incidental, or consequential damages arising out of or in connection with the Site, Company services, the trading platform, or this Agreement, regardless of how such damages arise, including negligence. This exclusion includes, but is not limited to, damages resulting from any failure or malfunction of software, hardware, communication technology, or other systems.

21.2. Maximum Liability

The liability of the Company, its subsidiaries, officers, directors, employees, and contractors to the Affiliate or any third party under any circumstances is limited to the greater of (A) the amount of fees paid by the Company to the Affiliate in the six (6) months preceding the action giving rise to liability, or (B) US$100.

 

22. Disclaimer of Warranties; Indemnification

22.1. Indemnification by Affiliate

The Affiliate agrees to indemnify, defend, and hold harmless the Company/Football Goal Coin, along with its directors, officers, employees, service providers, and contractors, from and against any and all liability, claims, costs, expenses, injuries, and losses, including reasonable attorneys’ fees and costs. These may arise directly or indirectly in connection with the Affiliate’s operations or website, or as a result of any disputes between the Affiliate and any other party related to this Agreement, the Site, the Affiliate’s activities, or services provided by the Company/Football Goal Coin.

 

23. Termination

23.1. Commencement and Duration

This Agreement becomes effective when the Affiliate indicates their acceptance of it on the enrollment form and remains in force until terminated as per the conditions outlined herein.

23.2. Termination by Company

The Company reserves the right to terminate this Agreement at any time, with or without cause, by providing the Affiliate with a three (3) days prior written notice via email. However, if the Affiliate violates any terms of this Agreement, termination will be effective immediately. Conversely, the Affiliate has the right to terminate this Agreement at any time, with or without cause, by giving the Company a three (3) days prior written notice, which may be provided via facsimile or email.

23.3. Termination for Low Activity

The Company may terminate this Agreement with a three (3) days prior written notice via email (or by posting a notice on the Site(s)) if the Affiliate has introduced fewer than three (3) Qualified Users within ninety (90) calendar days since the day of verification of the last Qualified Users.

23.4. Consequences of Termination

Upon termination of this Agreement, the Affiliate will no longer be entitled to receive payments for any new Users.

23.5. Removal of Materials and Domain Transfer

Following termination of this Agreement for any reason, the Affiliate shall promptly discontinue the use of and remove from their website all Promoted Marks, Banners, and Text Links to the Site(s). Any domain containing any of the Promoted Marks must be transferred to the Company or its contractor at the Affiliate’s expense upon termination of this agreement. The Affiliate shall be liable to pay the Company US$100 for each day such domain remains untransferred to the Company or its contractor. Sections 1, 4, 5, 6, 7, 8, and 10 of this Agreement shall survive such termination, and the enforceability of the terms and conditions of this Agreement concerning actions and omissions prior to such termination shall persist beyond the termination itself.

 

24. Miscellaneous

24.1. Independent Contractor Relationship

The Company and the Affiliate are independent contractors, and this Agreement does not establish any partnership, joint venture, or agency relationship between them. It does not grant the Affiliate the authority to make representations on behalf of the Company/Football Goal Coin or disclose any information about the Company/Football Goal Coin publicly. This Agreement also does not prohibit the Company/Football Goal Coin from operating websites that are similar to or compete with the Affiliate’s website. By accepting this Agreement, the Affiliate consents to receiving communications, including newsletters, notifications, and other commercial content related to the Site and its services, via telephone, facsimile, SMS, or email from the Company/Football Goal Coin. The Company/Football Goal Coin may send these communications without prior consent but will cease sending them upon written notification from the Affiliate expressing their desire to no longer receive such content.

 

24.2. Entire Agreement and Modifications

This Agreement represents the entire agreement between the Affiliate and the Company, supersedes all prior oral and written agreements related to its subject matter, and applies in conjunction with any other terms or conditions of the Site, such as the Company’s Privacy Policy, unless expressly stated otherwise in this Agreement. The Company reserves the right to modify any of the terms of this Agreement, including the Affiliate Fees, at any time and in its sole discretion. Notice of such modifications will be posted on the Site. If the Affiliate finds such modifications unacceptable, their sole remedy is to terminate this Agreement.

 

24.3. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of England & Wales. The Affiliate agrees to submit to an Arbitration arrangement for any disputes arising from or related to this Agreement if requested by The Company.

 

24.4. Language

This Agreement is drafted in the English language. It may be translated into different languages for informational purposes and the convenience of Affiliates. However, the English version holds legal authority and shall prevail in case of any discrepancies.
